The recent acquisition of Esso’s downstream assets in the country by Phillipines’ San Miguel Corp should catch the public’s attention on a few accounts.
The disclosed total consideration of USD610 million that is below Esso Malaysia’s current market value has sent its shares tumbling by 18% yesterday. While the sum may have been a bona fide amount decided on commercial grounds, the interest of minority shareholders took a beating when the deal prompted such a huge drop in share price.
I urge that the relevant parties including Securities Commission and Minority Shareholder Watch Group to look closely at the deal to ensure the interest of minority shareholders was not trampled.
More importantly however is the transfer of nationally strategic assets such as a refinery complex and petrol station network to an entity with hardly any experience or presence in Malaysia previously.
Back room deals
San Miguel Corp’s most famous connection to Malaysia previously is through Mirzan Mahathir, who was appointed as a director of the Philippines conglomerate after he acquired a 19.9% share in the corporation for RM2.9 billion through an investment vehicle.
Although Mirzan Mahathir had resigned from the board of San Miguel Corp in April 2010, he remains as a director of Petron Corporation, an associated company of San Miguel Corp that owns a network of refineries and petrol dealership in Philippines.
Therefore, it is only natural that questions are raised whether the acquisition of Esso’s downstream assets was completed at such a price on his behalf?
This is even more pertinent as his brother Mokhzani Mahathir had already benefitted greatly from the upstream sector of the oil and gas industry through Kenchana Petroelum; especially when their father is conveniently the advisor of PETRONAS.
The deal brings forth a series of questions on the present administration’s commitment to cultivate a culture of stringent corporate governance in the country. The corporate Malaysia must break free from the practices of back room deals at the expense of the public that characterise the patronage system of Umno/Barisan Nasional all this while

Zaid had recently admitted to having consumed alcohol in the past adding that he had already repented.
“I have admitted it. That’s the thing with me — I am a straightforward person. If I made a mistake, I will admit to it. I will apologise for it if I need to,” Zaid told the media yesterday in an attempt to end the character assassination by his former party colleagues. I am sure not all Malays are like the corrupted leaders of the country….It just fell to the wrong bunch of people unforutnately….
Just look at all the children of the politicians in the country….not alot of them were brought up the wrong way just like their parents….lousily educated with some degree & clenching their fists when making statements in the news……as if they’re still in the Tarzan era…..
UMNO have no problems with such business forays but since Umno makes so much noise about kilang arak in Selangor (which they approved) and arak being sold in 7-Eleven in Shah Alam, 0.01% or 15% of Mirzan’s business comprising alcoholic beverage production makes no difference as both are still haram. Also, Mahathir in his Bukit Gantang speech accused PR of memfitnah his son as having a stake in the arak business. Now his son admits it. So it is not a fitnah after all., Mahathir’s son, but the fact remains that you are willingly involved in a BREWERY company. You really don’t know what that means and what San Miguel is, or you just don’t care?
So how come DS Najib insists UMNO is Islamic? Anak Borek, Bapa rintek.
Intoxicants are forbidden in Islam. That’s a fact. Muslims are forbidden not only from consuming it, but also selling it. It’s not a matter of whether you’re “conservative” or not.
So what is the point of classifying stocks into Syariah Compliant and non-compliant stocks then? Double standards have never been so pronounced, does the Yang di-Pertuan Agong and State Mufti or Syariah Courts have anything to say about this glaring indiscrepency or will the Kutty Jr. get away scot free? The MUSLIM WORLD is watching . . .

Mirzan or even Mahathir….you ppl needs conversion. Talk more or less meant nothing to you or us as Muslim…. planting the seeds,processing,preparing,selling and consuming remains HARAM in Islam.. maybe u need those money to bail you out from hell later on?….So is it right or wrong for Mirzan Mahathir to own shares in San Miguel Corp which which control 51% of San Miguel Brewery? what he claimed is akin to a drug pusher saying ‘I am not using drug. we just produce for the users to use’ dont you think so? furthermore, i tot it is a sin for muslim to have income/earning from ‘haram’ things like gambling,alcohol , etc. i mebe wrong sori, anyway with all the hoo haa on caning a muslim for drinking beer, there is an article in margeemar blog on ‘guess who is the person in the pic having beer… hehehehe, go and have a look and try to guess who……ahaha and since you are there, also check out ‘whose son is having beer too…..’UMNO as declared by PM Najib is an Islamic party, but what it preaches does not confine to strict Islamic practices. Besides Mirzan, go check how many Muslim board directors of Genting, Resorts World, Carlsberg, Guinness Anchor, Magnum, Sports Toto & 4D companies are taking these haram monies year in & year out. Muslims are not allowed to work in casinos but they can buy 4D & sports toto bettings freely without checks.
Annually UMNO-lead govt collect heavy taxes from these haram companies in paying salaries to its 1.2 million civil servants.
Take the case of our own Genting Group which like San Miguel Corp is a conglomerate deriving a substantial portion of its income from the gaming business which is haram to Muslim. I believe that our government linked companies or trusts are not allowed to own Genting shares. But Genting pays both gaming tax and corporation tax to the Malaysian government. In effect, though not in the legal sense, the Malaysian government is like a “shareholder” of Genting because like all shareholders of companies, the government shares in the profit of Genting by way of taxation. So how does the government spend this “sin tax”? Does the government have a separate account where all the sin taxes are to be deposited and are to be spent only for the benefit of non-Muslim since this money is haram or is the money deposited in the government’s consolidated account from which money can be drawn to pay for all sorts of expenditure for the benefit of everyone, whether Muslim or non-Muslim?
Recently a Muslim friend wrote to me that its Ok for a Muslim to handle pigs and dogs, but forbidden to handle alcoholic drinks or gambling business. This was after the pictures of a young Muslim girl with tedung holding up a piglet and hugging a dog.
By the way Mirzan was clarifying that it is alright if alcoholic drinks is just a small part of the company’s business, right Mirzan? Its a hypocritic view to say that alcoholic drinks and gambling are haram in Islam and yet getting involve in its business because of its lucrative profits. Using the tax money from haram business to built buildings and facilities is unforgivable.
As some one said that in Cambodia, some Muslims are rearing pigs to sell because it is very profitable. That I can understand as a Muslim is forbidden to eat pork but not handling it. But if handling alcohol is forbidden then only a hypocrite would justify his action.Mirzan, why you need to explain woh, you forgot you are Mahatir’s son or even better you are orang umno mah. You all can do what you all like mah. One loudmouth minister son was photographed drinking beer and hugging girls also no need to explain mah. But excuse me, I just want the opinion of that HYPOCRITE mufti Harusini, whats his take on this. (May Allah forgive me for calling him so.) By the way I can’t help but feel, how the hell did Mirzan manage to gather that much money ah, is it b’cos of that second name.Lame excuse by Mirzan. Mirzan is claiming its just a business purposes only. Just because you are the x-PM son, the UMNO goons refuse to comment on this matter. Just imagine, if one of the opposition leaders are inlvolved in the same business, then you can see them carrying playcard and demonstration here and there. What happen if Mirzan is involved in the Pig Rearing Business in China. Its should be okay because its only involved in Business purposes only. Just leave this matter for the respective UMNO clowns to comment. Good for opposition as record has been created for future use.
This chubby chap ought to have gone with his ship in 1997. But Daddy came to his rescue… with EPF and Petronas funds. And while Anwar was still the finance minister. Which, of course, upset Anwar a lot. A year later the sodomy accusation was used to get rid of Anwar who advocated allowing mismanaged companies to sink – and for that was also accused of being an agent of the IMF. It would have been a million times better for the country if Mirzan had been allowed to go bankrupt. But, no, family honour had to be salvaged…. UNFORGIVABLE!
If the latter is the case, what difference doe it make for Mirzan to own shares in San Miguel which will probably pay him a dividend every year, compared to the Malaysian government getting “dividend” which is otherwise known as “sin taxes” from Genting or any other “sin” companies? I really don’t care about your business, had it not been UMNO who paint themselves holier than thou. IF your father is so critical of others’ business as part of the family this is the price to pay. A good Muslim shall not be involved in haram business. I want to see how your father is going to respond to this in his blog or as always he conveniently overlooked.
So it appears that what Mirzan has done is not very different from what the government has been doing all along by approving licences for gaming companies, cigarette companies and beer companies and deriving sin taxes from such haram activities.
Therefore, Mirzan is only wrong in acquiring San Miguel shares if we also share the view that the Malaysian government is wrong in granting licences to the above-mentioned sin trades and deriving taxes from them.
I think the decision of investing in alcohol business is more severe than drinking alcohol. Drinking is only individual… Producing is encouraging other to do it.
It was a long road from Merdeka. The Malays especially some children of former PMs had made it big in the corporate world. Had they been anybody like you and me, they would still be eking a living as employed or appointed chiefs of corporate GLCs. Would you think that Mirzan would have made it on his own without help or influence from daddy?
Having so much excesses now this Muslim Malaysian has the courage to divest into alcohol and to a country where Muslims in the South are still struggling?
Business is business but don’t forget the struggle for independence was for the welfare of the Rakyat and the Rakyats have still more rooms for improvements.
Another thing, will he pay income tithe from this venture?
Mirzan Mahathir has defended his investment group’s stake in Philippines conglomerate San Miguel Corp (SMC), saying the company was well on the way to diversifying substantially from its brewery business.
In a letter to The Malaysian Insider yesterday, Mirzan said San Miguel Corp had decided to shift its attention to the infrastructure, public utility and energy requirements of the Philippines, from its core brewery business.
“Since Kirin Holdings of Japan acquired a significant direct ownership stake in the brewery division, this will result in a dramatic change in SMC’s revenue mix, with beverages expected to contribute less than 15% of total sales by next year,” he said in the letter.
The Malaysian Insider had reported this week that Mirzan, the eldest son of Tun Dr Mahathir Mohamad, was recently appointed to the board of San Miguel Corp, the biggest food and beverage conglomerate in the Philippines and the owner of San Miguel Brewery Inc.Is it not nepotism that the kids are reaping in all the profits from his past political career? It is another sad political storm BREWING here and let’s see what our religious department has got to say about this? Doubt anything will be said as there are 2 sets of laws in Malaysia. One for the commoners and the other for the elite!Will any action be taken against him by our over zealous religious department? What has UMNO Youth got to say about it now that the ball is in their feet? Will caning and a fine be the works now that he is on the board of a brewery? If our local Malays cannot work in a casino, pub or places that promotes drinking and gambling, what makes him so special? He can spin his reasons for all he wants but beer is beer regardless of percentage! Isn’t his old man the one who comes out with the slogan, Kepimpinan Melalui Teladan? Is this what is meant by that or another case of cakap tak serupa bikin? All I can say is that it is shameful and thank you to The Malaysian Insider for reporting on this case as I did not see any of the local major papers reporting it! Who is the hypocrite now?
